Approved the restructuring project of OAO “Kuzbassenergo”.

Approved the transfer of WGC- 5 and WGC-3 onto a single share and the inclusion of Kuzbassenergo generating assets into TGC-12.

Approved a new configuration of the territorial generating companies TGC-11 and TGC-12

TGC-11 is formed on the basis of generating actives of OAO “Tomskenergo” and “Omskenergo”

TGC-12 is formed on the basis of generating actives of OAO “Altayenergo” and OAO “Kuzbassenergo”.

March 30, 2005. OAO "Territorial Generation Company No. 1" (OAO "TGC-1") was registered with the Interdistrict Inspectorate of the Federal Tax Service of Russia in the city of Saint-Petersburg.

March 29, 2005. Registration of the emission and the report of the emission of securities of the new-created companies unbundled from OAO “Chelabenergo”, OAO “Mordovenergo”, and OAO “Kurskenergo”. March 25, 2005. Board of Directors of RAO “UES of Russia” approved the restructuring project of OAO “Kamchatskenergo”. The restructuring process is structured under the individual scheme that is different from the basic principle. Because the power company belongs to the category of isolated companies that imposes essential restrictions on the scheme of reforming.

March 23, 2005. OAO "Wholesale Generation Company 1 of the Electricity Market" ("OAO "WGC-1") has been registered with the Inspectorate of the Federal Tax Service of Russia ¹ 3, for Tumen Region.

March 22, 2005. OAO "Territorial Generation Company No. 5" (OAO "TGC-5") was registered with the Inspectorate of the Federal Tax Service of Russia in the city of Cheboksary.

March 22, 2005. OAO "Territorial Generation Company No. 8" (OAO "TGC-8") was registered with the Inspectorate of the Federal Tax Service of Russia in the city of Astrakhan.

March 21, 2005. The Board of directors of OAO "Kurganenergo" on the question beginning of restructuring process of the company.

March 17, 2005. OAO "Wholesale Generation Company 6 of the Electricity Market" ("OAO "WGC-6") has been registered with the Inspectorate of the Federal Tax Service of Russia, in the city of Rostov-na-Donu.

March 17, 2005. The regional branch of Federal service of the financial markets in East Siberian region has registered a release of ordinary shares and the report on results of the release of OAO "Territorial generating company ¹ 14" (OAO "TGC-14 ").

March 10, 2005. Registration of the emission and the report of the emission of securities of the new-created companies unbundled from OAO “Ivenergo” and OAO “Yarenergo”, OAO “Rostovenergo”. (Please see the detail information in the section “Restructuring - AO-Energo Restructuring Schedule”.).

March 9, 2005. OAO "Wholesale Generation Company 2 of the Electricity Market" ("OAO "WGC-2") has been registered with the Inspectorate of the Federal Tax Service of Russia ¹ 2607, in the city of Izobilniy, Stavropol Region.

March 9, 2005. The Head of the Management board, Anatoliy Chubais had approved a decision to appoint Vasiliy Nesvetaylov as a general director of OAO “TGC-2”. The Management board of RAO «UES of Russia» unanimously approved the above candidature.

March 4, 2005. OAO "Wholesale Generation Company 4 of the Electricity Market" ("OAO "WGC-4") has been registered with the Inspectorate of the Federal Tax Service of Russia, Surgut.

February 28, 2005. OAO “Ural and Volga Interregional Distribution Company” was registered with Inspectorate of Federal Tax Office in the city of Ekaterinburg.

February 28, 2005. The Management board of RAO “UES of Russia” approved a decision to appoint general director of OAO “Lenenergo”, Andrey Likhachev as a general director of OAO “TGC-1” and general director of OAO “Tulaenergo” Gennadiy Kochetkov as a general director of OAO “TGC-4”.

February 25, 2005. Board of Directors of RAO “UES of Russia”:

Approved the operation scheme of “TGC-2” by the leasing scheme with the later consolidation with the regional generating companies that were unbundled from AO-energos.

Approved the operation scheme of “TGC-4” by the leasing scheme, with the formation of the holding structure and later consolidation.

Approved the operation scheme of “TGC-6” by the leasing scheme with the later consolidation of regional generation companies that were unbundled from AO-energos.

Approved the restructuring project of OAO “Kurganenergo”. The restructuring process is structured by the basic principle, in the form of separation of new entities with preservation of current shareholder capital structure.

Approved the change in the scheme of segregation of the units of United National Electrical Grid of AO-energos.

February 24, 2005. Registration of the emission and the report of the emission of common, non-documentary shares of OAO “Cheboksarskaya GES”, OAO “Chuvashskaya energy supply company”, OAO “Chuvashskaya generating company”, OAO “Chuvashskaya management company”.

February 22, 2005. At the ESM of “Khakasenergo” (100% owned by RAO UES) the decision was approved of the restructuring of the Company by the way of separation of the following companies: OAO “Khakaskaya generating company”, OAO “Khakaskaya energy management company”, OAO “Khakas supply company” and OAO “Khakaskaya transmission company”. 

February 22, 2005. The Head of the Management board, Anatoliy Chubais had approved a decision to appoint Vladimir Lebedev as a general director of OAO “TGC-5” and Vladimir Privalov as a general director of OAO “TGC-6”. The Management board of RAO «UES of Russia» unanimously approved the above candidatures.

February 21, 2005. The Head of the Management board, Anatoliy Chubais had approved a decision to appoint Victor Gvozdev as a general director of OAO “TGC-8”. The Management board of RAO «UES of Russia» unanimously approved the above candidature.

General shareholders meetings were held on the issue of approval of company’s charters and election of the executive bodies (General Directors, Board of Directors, Remuneration Comities) of the newly registered companies that were unbundled from the following AO-energos:

February 16, 2005 – OAO “Arkhenergo”, OAO “Novgorodenergo”, OAO “Stavropolenergo”.

February 15, 2005 – OAO “Tulenergo”.

February 11, 2005. The Board of Directors of “WGC 3” at the regular meeting have discussed several issues on the priority directions of the operational activity. The agenda of the formation of the WGC 3 was approved, as well as the approval of the financial consultant of the Company (FIC “Metropol”).

February 10, 2005. The Board of Directors meetings were held at OAO “Permenergo” and OAO “Sverdlovenergo”, where the decision was approved to call the EGSM for the March 28, 2005 on the issue of the approval of the leasing scheme for the generation assets between the companies and “TGC 9.

February 8, 2005. The Comity for Strategy and Reform of the Board of Directors of OAO RAO “UES of Russia” has approved the formation projects of OAO “TGC 2” and “TGC 4”.

February 1, 2005. OAO "TGC-14" has started operating process.

February 1, 2005. State registration completed of the companies that were unbundled by the basic principle from OAO “Kurskenergo”, OAO “Mordovenergo”, OAO “Nizhnovenergo” and OAO “Smolenskenergo”. In accordance with the AO-energo restructuring schedule, currently, 85 new companies completed state registrations that were unbundled from 26 AO-energos. Shareholder capital structure in the new companies fully complies with the structure in AO-energos that are restructured by the basic principle.

January 31, 2005. Sate registration of the new companies that were unbundled from OAO “Chelyabenergo”.

January 28, 2005. Board of Directors meeting recommended the representatives of RAO UES of Russia in the Board of Directors of OAO “Sverdlovenergo” and OAO “Permenergo” to vote “for” on the issue of  “ the approval of the leasing scheme between AO-energos and TGC 9, which is a deal with a self-interest”.

The decision was made that Management companies would be the sole executive bodies of the companies that are unbundled from the AO-energos, only when its expedient. The Management board of RAO “UES of Russia” will make a decision on the expediency of the management companies.

January 24, 2005. First Board of Directors meeting of OAO “Hydro WGC”. Victor Khristenko, the Minister of Industry and Energy of Russian Federation was elected as the Head of the Board of Directors. Anatoliy Chubais was elected as the Deputy Head of the Board of Directors. The Management Board of RAO «UES of Russia» unanimously approved both of the proposed candidatures.

January 21, 2005. State registration of the management companies unbundled from OAO “Ivenergo” and OAO “Vladimirenergo”. OAO «Ivanovskaya management company” was registered January 14, 2005 and OAO “Vladimirskaya energy company” was registered January 15, 2005.

January 11, 2005. State registration of the new companies that were unbundled from 7 AO-energos: OAO “Astrakhanenergo”, OAO “Lipetskenergo”, OAO “Rostovenergo”, OAO “Ryazanenergo”, OAO “Tambovenergo”, OAO “Tverenergo”, OAO “Yarenergo”.

January 11, 2005. Head of the Management Board of RAO “UES of Russia”, Anatoliy Chubais appointed: Vladimir Khlebnikov as the General Director of OAO “WGC-1”, Valentin Sanko as the General Director of OAO “WGC-6” and Alexei Bobrov as the General Director of “IDC Urals and Volga”. The Management Board of RAO «UES of Russia» approved all of the proposed candidatures.

January 1, 2005. State registration of the new entities that were unbundled from 9 AO-energos: OAO “Vladimirenergo”, OAO “Volgogradenergo”, OAO “Ivenergo”, OAO “Karelenergo”, OAO “Kostromaenargo”, OAO “Marienergo”, OAO “Penzaenergo”, OAO “Udmurtenergo”, OAO “Chuvashenergo”.
